These Terms of Service ("Terms") govern your access to and use of the Business Frame website, software, dashboards, APIs, automations, integrations, AI features, campaign tools, reporting tools, and related services (collectively, the "Services"). By accessing or using the Services, or by clicking to accept these Terms, you agree to be bound by them. If you use the Services on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
1. Eligibility and Account Authority
You must be at least 18 years old and legally able to enter into a binding contract to use the Services. If you create an account for a business, agency, or other organization, you are responsible for ensuring that all users under that account comply with these Terms. You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account.
2. Services and Service Changes
Business Frame provides software and related services designed to help customers create, manage, analyze, optimize, and in some cases deploy advertising campaigns, creatives, audiences, landing pages, and related marketing assets. Features may include AI-assisted generation, automation, workflow tools, campaign configuration, integrations with third-party advertising or analytics platforms, and spend management tools.
Business Frame may add, remove, suspend, or modify features from time to time. We may also impose limits on functionality, integrations, usage levels, supported channels, spending thresholds, or account permissions where reasonably necessary for operational, security, legal, or commercial reasons.
3. AI Features and Human Review
Some features may generate text, images, recommendations, targeting suggestions, budgets, landing pages, campaign structures, keywords, or other outputs using artificial intelligence or automation ("AI Outputs"). AI Outputs may be incomplete, inaccurate, or unsuitable for your use case. You are responsible for reviewing and approving all claims, creatives, settings, disclosures, targeting, budgets, and destinations before use, publication, or deployment, unless you have expressly enabled an automated workflow that permits Business Frame to execute based on your instructions.
You remain solely responsible for ensuring that all materials and campaigns comply with applicable law, platform policies, industry rules, and contractual obligations. Business Frame does not provide legal advice and does not warrant that any AI Output is lawful, non-infringing, approved by a third-party platform, or fit for a particular purpose.
4. Customer Content, Licenses, and Feedback
You retain ownership of the information, creative assets, data, prompts, copy, audiences, trademarks, domain content, campaign settings, and other materials that you submit to the Services ("Customer Content"), subject to the rights you grant below.
You grant Business Frame a worldwide, non-exclusive, royalty-free license to host, copy, process, modify, transmit, display, and use Customer Content as necessary to provide, secure, improve, support, and maintain the Services, to perform your instructions, and to comply with law. This license includes the right to share Customer Content with service providers and integrated third-party platforms at your direction or as necessary to provide the Services.
If you provide suggestions, comments, ideas, or feedback about the Services, Business Frame may use them without restriction or compensation.
5. Integrations and Third-Party Platforms
The Services may connect to, interoperate with, or transmit data to third-party platforms such as advertising networks, payment processors, analytics providers, content providers, hosting providers, and communications tools. Your use of any third-party platform is governed by that platform's own terms, privacy practices, policies, approval rules, and operational constraints.
Business Frame is not responsible for third-party platform availability, outages, delays, pricing changes, approval decisions, account suspensions, policy strikes, audience restrictions, rejected creatives, reporting discrepancies, bidding outcomes, or other actions or omissions of third parties. If you authorize Business Frame to connect to or act through a third-party account, you represent that you are authorized to do so.
6. Fees, Billing, and Taxes
You agree to pay all fees and charges associated with your use of the Services as disclosed on the applicable pricing page, checkout flow, account dashboard, billing interface, renewal notice, or other product interface made available by Business Frame. Fees may include, without limitation, account setup fees, recurring subscription fees, usage-based charges, credits purchases, minimum commitments, service fees, platform fees calculated as a percentage of spend, pass-through media or advertising spend, and taxes.
Unless otherwise stated in writing:
- fees are quoted and payable in U.S. dollars;
- payment obligations are non-cancelable for the applicable billing period or purchase;
- you authorize Business Frame and its payment processors to charge your selected payment method for all amounts due;
- you are responsible for all sales, use, value-added, withholding, or similar taxes, except taxes based on Business Frame's net income.
If your payment method fails, your account may be suspended, campaigns may be paused, credits may be unavailable, and Business Frame may retry charges or use any other lawful collection method. Business Frame may accrue interest on overdue amounts at the lesser of 1.5% per month or the maximum amount permitted by law, and you will reimburse reasonable collection costs.
7. Automatic Renewals and Fee Changes
Certain subscriptions, plans, or replenishment arrangements may renew automatically until canceled. Where automatic renewal applies, Business Frame will disclose the material renewal terms before purchase, obtain the required consent, and provide instructions for canceling future renewals.
Business Frame may change pricing, fee structures, packaging, spend thresholds, included features, or billing mechanics on a prospective basis. Changes will not apply retroactively. Where required by law, Business Frame will provide advance notice of material fee changes or renewal-related changes. Updated pricing may apply at the start of the next billing cycle, renewal term, or future purchase.
8. Refunds
Your purchases are subject to the Business Frame Refund Policy. Except where required by law or where Business Frame determines that a billing error occurred, payments are non-refundable. This no-refund approach applies in particular to setup fees, subscriptions, service fees, platform fees, credits, and media or advertising spend because Services begin immediately, costs may be incurred at once, and third-party charges may be committed or non-recoverable.
Canceling a subscription or stopping a campaign prevents future recurring or future spend where technically and operationally possible, but does not entitle you to a refund or credit for amounts already charged, committed, or used.
9. Customer Responsibilities and Compliance
You are solely responsible for:
- the legality, accuracy, substantiation, and appropriateness of your campaigns, ads, claims, targeting, offers, landing pages, and Customer Content;
- obtaining all rights, consents, and permissions required to use Customer Content, pixels, tags, custom audiences, contact lists, and personal data;
- complying with applicable laws and regulations, including advertising, privacy, consumer protection, intellectual property, sanctions, export control, anti-spam, and sector-specific rules;
- complying with the Business Frame Acceptable Use Policy and Advertising and Third-Party Platform Compliance Policy, each of which is incorporated into these Terms by reference;
- monitoring campaigns, budgets, billing activity, lead quality, and destination behavior.
You will promptly provide substantiation or supporting documentation if Business Frame reasonably requests it for a campaign, claim, or category of service.
10. Prohibited and High-Risk Uses
You may not use the Services to engage in unlawful, deceptive, infringing, abusive, discriminatory, harmful, fraudulent, or unauthorized conduct. Without limiting the foregoing, you may not use the Services to transmit malware, run phishing campaigns, scrape or misuse data, impersonate others, violate third-party platform rules, bypass platform review systems, generate misleading claims, send unlawful commercial email, or promote prohibited products or services.
Business Frame may restrict or prohibit certain categories, verticals, or tactics, including political advertising, regulated financial or health claims, employment, housing, or credit-related campaigns, lead generation for sensitive categories, and any activity that creates elevated legal, payment, brand, or platform risk.
11. Suspension and Termination
Business Frame may suspend, limit, reject, remove, or terminate access to the Services, campaigns, integrations, or accounts at any time if we reasonably believe that:
- you violated these Terms, the Acceptable Use Policy, or the Advertising and Third-Party Platform Compliance Policy;
- your use creates legal, payment, platform, security, reputational, or operational risk;
- charges are overdue or a payment dispute occurs;
- a third-party platform requires or requests action;
- continued service is impracticable or unsafe.
You may stop using the Services at any time and may cancel eligible recurring plans using the provided cancellation method. Termination does not relieve you of obligations that accrued before termination, including payment obligations, indemnification obligations, and any surviving provisions of these Terms.
12. Confidentiality and Aggregated Data
Each party may receive non-public information from the other party that is identified as confidential or that reasonably should be understood as confidential ("Confidential Information"). The receiving party will use the other party's Confidential Information only as necessary to exercise rights and perform obligations under these Terms and will protect it using reasonable safeguards. Confidential Information does not include information that is public through no fault of the receiving party, was already lawfully known, is independently developed without use of the other party's Confidential Information, or is lawfully received from a third party without duty of confidentiality.
Business Frame may use de-identified, aggregated, and statistical information derived from use of the Services for analytics, benchmarking, service improvement, security, and business operations, provided that such information does not identify you or your end users as a reasonably identifiable person or entity.
13. Intellectual Property
Business Frame and its licensors own all right, title, and interest in and to the Services, including software, models, workflows, interfaces, documentation, trademarks, trade dress, and all related intellectual property rights, except for Customer Content and any rights expressly granted to you in these Terms.
Subject to these Terms and your payment of all applicable fees, Business Frame grants you a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable term to access and use the Services for your internal business purposes. Except as expressly allowed by law, you may not reverse engineer, decompile, disassemble, mirror, copy, resell, lease, frame, or create derivative works of the Services.
14. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS FRAME DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND AVAILABILITY.
Business Frame does not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components; that AI Outputs or campaign recommendations will be accurate or compliant; that any campaign will be approved, delivered, perform as expected, or produce any specific result; or that data, reporting, or attribution from third-party platforms will be complete or accurate.
15. Indemnification
You will defend, indemnify, and hold harmless Business Frame, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any third-party claims, demands, actions, damages, judgments, settlements, fines, penalties, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Customer Content;
- your campaigns, offers, claims, audiences, landing pages, or marketing practices;
- your use of the Services, AI Outputs, or third-party integrations;
- your breach of these Terms or violation of law;
- allegations that your content, data, or conduct infringes or misappropriates third-party rights or violates privacy, advertising, or consumer protection laws.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS FRAME WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CAMPAIGN PERFORMANCE, BUSINESS OPPORTUNITY, OR PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESS FRAME'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID OR PAYABLE BY YOU TO BUSINESS FRAME FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
17. Electronic Communications and Notices
By using the Services, you consent to receive agreements, notices, disclosures, billing information, and other communications from Business Frame electronically, including by email, in-product notification, or posting through the Services. You are responsible for keeping your account contact information current.
You agree that electronic communications from Business Frame satisfy any legal requirement that such communications be in writing. Unless these Terms or applicable law require a different method, you will send notices to Business Frame by email at [email protected].
18. Governing Law and Disputes
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and each party consents to the personal jurisdiction and venue of those courts.
19. Changes to These Terms
Business Frame may update these Terms from time to time. If we make a material change, we will post the updated Terms and update the Effective Date. If required by law or if the change materially affects your rights or obligations, we may also provide additional notice. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.
20. Miscellaneous
These Terms, together with any incorporated policies and the pricing or billing terms presented at the time of purchase, form the complete agreement between you and Business Frame regarding the Services. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Business Frame's prior written consent, and Business Frame may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. Provisions that by their nature should survive termination will survive termination.
